These Terms and Conditions (“Terms”) govern your access to and use of the Burrill Watkins LLC Learning Management System (“LMS”), operated by Burrill Watkins LLC (“we,” “us,” or “our”). By using the LMS, you agree to comply with these Terms. If you do not agree with any part of these Terms, please refrain from using the LMS.
1. Access to the LMS
a. Eligibility
The LMS is intended for employees, contractors, or authorized users affiliated with Burrill Watkins LLC. By using the LMS, you confirm you are at least 16 years old and have been authorized to access the system.
b. Account Responsibility
Each user is responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account. Notify us immediately if you suspect unauthorized access to your account.
2. User Conduct
By using the LMS, you agree not to:
- Share your login credentials with unauthorized users.
- Use the LMS in a manner that violates any applicable law or regulation.
- Upload or transmit harmful software, malware, or files that could disrupt or compromise the LMS.
- Share confidential course materials, assessments, or proprietary content outside of the LMS without explicit permission from Burrill Watkins LLC.
- Engage in behavior that is offensive, abusive, or disruptive to other LMS users.
We reserve the right to terminate or suspend access to users who violate these Terms.
3. Intellectual Property
a. Ownership of Content
All content, materials, and courses provided within the LMS are the exclusive property of Burrill Watkins LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws. Unauthorized use, distribution, or reproduction of any content is strictly prohibited.
b. License to Use LMS
We grant you a limited, non-exclusive, non-transferable license to access and use the LMS for educational and training purposes, strictly within the scope of your relationship with Burrill Watkins LLC.
4. Confidentiality and Privacy
By accessing the LMS, you may have access to proprietary or confidential information. You agree not to disclose, share, or misuse any confidential information for purposes outside of those authorized by Burrill Watkins LLC. 5. Third-Party Links and Resources
The LMS may contain links or access to third-party websites or resources. Burrill Watkins LLC does not endorse and is not responsible for the availability, accuracy, or content of any third-party websites or resources. Accessing these resources is at your own risk.
6. Disclaimer of Warranties
The LMS and its contents are provided “as-is” and “as available.” To the fullest extent permitted by law, Burrill Watkins LLC disclaims all warranties, express or implied, including, without limitation, warranties of accuracy, reliability, and fitness for a particular purpose. We do not guarantee uninterrupted or error-free operation of the LMS.
7. Limitation of Liability
To the maximum extent permitted by law, Burrill Watkins LLC shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use the LMS. Our total liability to you, in any event, shall not exceed the amount paid, if any, for accessing the LMS.
8. Termination of Access
We reserve the right to suspend or terminate access to the LMS for users who violate these Terms or engage in prohibited conduct. Burrill Watkins LLC may also terminate access to the LMS at its discretion without prior notice.
9. Amendments to the Terms
We may update or revise these Terms periodically. Any changes will be posted within the LMS, and the effective date will be updated. Continued use of the LMS after any changes constitutes acceptance of the updated Terms.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Alabama. You agree that any legal action or proceeding related to these Terms or the LMS shall be brought exclusively in a court of competent jurisdiction in the State of Alabama, County of Jefferson.
